Please you must read and fully understand the terms and conditions of this agreement carefully, particularly the parts marked in bold. Once you register Hibay you are deemed to have understood and fully agreed to the contents of this agreement, including any changes that Hibay may make to the usage agreement. If you disagree with this agreement and/or any updates at any time, please stop registering and using all services provided by Hibay immediately.
1.1 Welcome to Hibay and its affiliated websites and software (hereinafter referred to as Hibay), which are managed by Silverdragon Tech PTE. Hibay agrees to provide relevant internet-based services in accordance with the "User Agreement" (hereinafter referred to as this agreement) and operation rules released from time to time.
1.2 Hibay may update this agreement at any time without notification. Once this agreement is changed, Hibay will announce the modifications on webpages and within the software. The revised user agreement will supersede the original one once announced on the above-mentioned platform. Moreover, when you use Hibay's special services, you and Hibay should comply with the guidelines and rules related to the service disclosed by Hibay at any time. All these guidelines and rules constitute a part of this user agreement.
1.3 You should comply with the terms of this agreement and use Hibay's services legally and reasonably. Otherwise, Hibay has the right to interrupt or terminate the provision of services to you based on this agreement. At the same time, Hibay reserves the right to withdraw your account at any time. Please read this agreement carefully (especially the bold parts). By checking "Log in registration represents agreement to the user agreement and privacy policy" and completing the log-in registration, you reach an agreement with Hibay and accept all the following agreements, becoming a Hibay user (hereinafter referred to as user).
1.4 If you disagree with this agreement and/or any updates at any time, please stop using all services provided by Hibay immediately.
2.1 Hibay provides free and paid services to users through providing algorithms, storage platforms, computing resources, and network bandwidth. Unless explicitly provided otherwise in this user agreement, any new functions enhancing or augmenting the current service, including new product releases, are subjected to the bounds of this user agreement.
2.2 You understand and agree that the service is only provided as it currently appears. For any problems related to the timeliness, deletion, transmission errors, failure to store any user information or personalized settings, Hibay takes no responsibility.
2.3 For all free services, Hibay reserves the right to suspend any part without prior notice for maintenance, upgrading, or other purposes.
2.4 Regarding paid services, Hibay reserves the right to modify and upgrade paid products due to product upgrading needs.
2.5 Specifically, before the user actually purchases any paid service, Hibay allows the user to have sufficient time to try out part or all of the functions. Therefore, the user's payment is deemed as accepting the service quality provided by Hibay (including interface, operation, website speed, network connection, learning content). Except for Hibay voluntarily shutting down the website indefinitely, no part or all of the purchase payment will be refunded.
2.6 For paying users, Hibay will provide services in accordance with the agreement, but does not promise to solve problems caused by the user itself, including but not limited to the user's computer hardware and software failures, the use of incompatible browsers, network failures where the user is located, stopping parsing Hibay domain name or interruption and connection with Hibay server, etc.
2.7 The user understands and agrees that Hibay's services, products, and materials are only provided as they currently appear. And Hibay explicitly refuses to grant any explicit or implied guarantee or warranty for "Service", "Material", or "Product", including but not limited to those for commercial use, suitability for a particular purpose, or non-infringement of others' rights. Hibay is not responsible for any direct, indirect, incidental, or consequential losses resulting from the "service", "product", or "material". Hibay takes no responsibility for any problems related to the timeliness, deletion, transmission errors, or failure to store any user information or personalized settings.
2.8 You agree that Hibay has the right to formulate general measures and restrictions regarding the use of this service, including but not limited to the maximum duration that this service will retain the published content or other published content, and the maximum number of times you use this service within a certain period (and/or the maximum time limit for each use). For any information, communication materials, and other content published or transmitted through this service, if it is deleted or not stored, you agree that Hibay does not need to take any responsibility. You also agree that Hibay has the right to change these general measures and restrictions at any time, whether notified or not, according to its own considerations.
3.1 In order to be able to use this service, you should comply with this agreement and all applicable international, national, and local laws and regulations. You agree on the following matters: fill in your correct registration email, password, name, mobile phone number, etc., according to the registration tips of this service, and ensure the authenticity, validity, and legality of the updated login email, name, avatar, and mobile phone number, etc., in the future. If you provide any illegal, unethical materials, or if Hibay believes that they are not suitable for display on Hibay and associated software and websites, or if Hibay has reason to suspect that your actions belong to program or malicious operations, Hibay has the right to suspend or terminate your account use without prior notice and refuses you to use all or part of this service now and in the future.
3.2 Hibay does not have to take any responsibility for any registration or registration materials of yours (any user), including but not limited to identifying, verifying the truthfulness, correctness, completeness, applicability and/or whether it is the latest material.
3.3 According to relevant laws and regulations and considering the importance of Hibay's product services, users must agree:
1) Submit personal effective and accurate personal information for real-name authentication when registering an account; 2) Provide timely, detailed, and accurate account registration information; 3) Users should not open this service for themselves or others through improper means or in violation of the principles of honesty and credit; 4) Each user must be fully responsible for all actions and events in his account, and should not sell or lend the account. If the user does not keep his own account and password, causing damage to himself, Hibay or a third party, the user will bear all responsibilities; 5) If the registration information provided by the user to the account is inaccurate, untrue, contains illegal or bad information, Hibay has the right to refuse registration and reserves the right to terminate the user's use of all services offered by Hibay. 6) During the use of the account, promise to abide by laws and regulations, follow public order and good customs, and should not harm national interests, public interests, and the legal rights of others.
4.1 After completing the registration process of this service and successfully registering, you can use your registration email/mobile number and password to log into your account at Hibay (hereinafter referred to as the "account"). Once the registration is completed, you gain the right to use the account. Protecting the security of the account is your responsibility.
4.2 You should take full responsibility for all activities carried out with your account. You agree:
1) When your Hibay account is unauthorized or encounters other safety issues, you will notify Hibay immediately; 2) Hibay bears no responsibility for any loss or damage resulting from failure to keep your account and password secure; 3) You are fully responsible for all harm caused to you, Hibay or a third party due to the use of the account, including situations where you have not kept your account or password secure.
4.3 As the user's personal information can be obtained through the account and the account is owned by Hibay, except as expressly provided by law, without Hibay's consent, users should not transfer, sell or lend the account to others.
5.1 According to relevant laws and regulations, Hibay hereby seriously reminds you that any text, music, pictures, graphics, videos, or other materials (hereinafter referred to as "content") published or uploaded through this service, whether publicly or privately transmitted, are the responsibility of the content provider. Hibay simply provides users with an information storage space service and cannot control the content transmitted through this service. Therefore, it does not guarantee the accuracy, completeness or effectiveness of the content. You should ensure that you are the copyright owner or have obtained legal authorization, and that the content will not infringe on the legal rights of any third party. You agree to grant Hibay a free, irrevocable, permanent, re-licensable or transferable exclusive right of use license for the aforementioned content globally. According to this license, Hibay will have the right to use the aforementioned content in ways including exhibition, promotion, and others that are not prohibited by the laws of Hibay's location.
5.2 You are forewarned that when using this service, you may encounter content that is unpleasant, inappropriate or disgusting. In any case, Hibay is not responsible for any content, but Hibay has the right to stop transmitting any aforementioned content and take corresponding actions in accordance with the law, including but not limited to suspending the user's use of all or part of this service, preserving related records, and reporting to relevant authorities.
5.3 You clearly understand and agree that Hibay is not liable for any direct, indirect, incidental, special, consequential or punitive damages resulting from the following reasons, including but not limited to economic, reputation, data loss or other intangible losses:
1) The use or inability to use this service; 2) Costs associated with replacing any goods, data, information, services purchased or obtained from or through this service, received messages, or transactions made with third parties; 3) Unauthorized access to or alteration of your transmission or data; 4) Declarations or actions made by any third party within this service; 5) Third parties publishing or delivering fraudulent information in any manner, or inducing users to sustain economic losses; 6) Other matters related to this service, except as clearly stipulated in this User Agreement.
6.1 Hibay highly respects and protects the privacy of each user. Please carefully read this agreement and the relevant "Hibay Privacy Policy" about the collection, use, and disclosure of your personal information. The registration information you provide and some other information about you preserved by Hibay will be protected by the Singapore Personal Data Protection Act (PDPA) and other relevant laws, regulations, technical standards, and the company's "Privacy Policy".
6.2 Under normal circumstances, you can browse and modify your information on Hibay at any time, but for security and identity verification considerations, you may not be able to modify the initial registration information and other verification information provided at the time of registration.
7.1 Hibay reserves the right to change, interrupt or terminate the service at any time without notifying users.
7.2 Due to the special nature of the network service (including but not limited to server stability issues, malicious network attacks, or situations that Hibay cannot control), you agree that Hibay has the right to interrupt or terminate part or all of the service at any time.
7.3 You understand that Hibay needs to perform maintenance, upgrading, or other purposes on the service platform or related equipment from time to time, temporarily suspending part or all services. Hibay does not need to take any responsibility for service interruptions within a reasonable time due to such situations.
7.4 If any of the following situations occur, Hibay has the right to interrupt or terminate the service provided to you under this agreement at any time without any liability to you or any third party: 1) The personal information you provided is not true; 2) You violate the law, policy or this User Agreement.
7.5 You agree that Hibay, based on its own consideration, can terminate your account or use of this service (or any part of the service), and remove and delete any content within this service for any reason, including but not limited to lack of use or Hibay believes that you have violated this User Agreement, without prior notice. You acknowledge and agree that Hibay can immediately close or cancel your account and delete all related information and files in your account, and/or prohibit further use of these files or this service. In addition, you agree that if the use of this service is interrupted or terminated, or your account and related information and files are closed or cancelled, Hibay will not be liable to you or any third party.
You clearly understand and agree that:
8.1 Any provision of this User Agreement does not exempt Hibay from any liability for personal injury or property damage caused by its fault;
8.2 Hibay does not guarantee the following conditions:
1) This service will meet your requirements; 2) This service will not be interfered with, provided timely, safe and reliable, or error-free; 3) The results obtained using this service are correct and reliable; 4) Any products, services, information or other information that you purchase or obtain through this service will meet your expectations;
8.3 Whether to download or obtain any materials using this service should be considered by you and at your own risk. Any damage to your computer system or loss of data resulting from downloading any material is undertaken by you;
8.4 Any advice or information that you obtain from Hibay or through this service, whether in written or oral form, will not constitute any warranty outside this User Agreement unless explicitly stated in this User Agreement.
9.1 You should abide by the relevant laws of your country or region, and agree to take full responsibility for any actions and their results related to the use of this service through your account in any way. If your behavior violates national laws, you shall bear all legal responsibilities according to the law; if suspected of constituting a crime, judicial authorities will hold you criminally responsible, and Hibay will cooperate according to the obligations stipulated by the law and the requirements of judicial authorities. At the same time, if Hibay has reason to believe that any of your actions, including but not limited to any of your remarks or other actions, violate or may violate any provisions of relevant laws and regulations, Hibay can terminate the provision of services to you at any time without any prior notice.
9.2 You agree not to use this service for any illegal or improper activities, including but not limited to the following actions:
1) When using Hibay services, you must comply with the laws, regulations, and rules of Hibay's location and your country/region and ensure that you do not use this service for any illegal or improper activities, including posting or sending information containing the following contents:
① Discrimination and hate speech targeting races, nations, ethnic groups, religions, genders, ages, geographical areas, sexual orientations, physical characteristics; ② Using indecent language, insulting, harassing others, or other unfriendly behaviors; ③ Provocative behavior or overly radical subjective judgments; ⑤ Radical political and ideological content; ⑥ Reprinting content that others have rights to without legal authorization; ⑦ Misusing product features, disrupting the product ecosystem and atmosphere; ⑧ Content that contains what laws, administrative regulations and any standards with legal effect restrict or prohibit; ⑨ Contents related to religious doctrines, religious knowledge, religious culture, religious activities, proselytizing behavior, holding religious activities, establishing religious organizations, setting up religious activity places, etc.; ⑩ Content that poses a potential threat to the operational safety of the website, not limited to: · Posting or disseminating content that infringes on others' copyrights, patent rights, trademark rights, trade secrets, or other proprietary rights · Posting or disseminating any "advertising letters", "promotional materials", "junk mail", "spam", "chain letters", "direct selling", or any other form of solicitation material ⑫ Other content that Hibay deems inappropriate for display on Hibay 2) Posting, sending an email, or transmitting in any way any content that is known but not authorized to transmit under any law, contract or fiduciary relationship (such as internal information, proprietary and confidential information known or disclosed as a result of employment relationships and according to confidentiality agreements); 3) Posting or transmitting in any other way content that infringes on the copyright, patent right, trademark right, trade secret, or other exclusive rights ("Exclusive Rights") of others; 4) Desseminating computer viruses (including but not limited to Trojan horses, worms, time bombs, cancel bots, referred to as "Viruses") or any other computer code, files, and programs designed to interrupt, destroy or restrict the functionality of any computer software, hardware or telecommunications equipment; 5) Interfering with or disrupting this service or servers and networks connected to this service, or violating any rules, procedures, policies or norms about the network connected to this service;
9.3 You have recognized that Hibay does not fully control user behavior. When you use any content, including relying on the correctness, completeness or validity of the said content, you agree to make your own judgment and bear all risks, rather than relying on Hibay. However, Hibay has the right to refuse and delete any content that violates this clause or that Hibay finds objectionable, at its own discretion.
9.4 Hibay has the right to delete content that violates the above-mentioned prohibition and will administer appropriate punishments according to the behavior of the account. For different scenarios of account usage behavior, punishments will be given according to the severity of the violation. Serious abuse of product features and disruption of product ecology and community atmosphere will be heavily punished.
9.5 In special situations or upon requests from government-related agencies, Hibay reserves the right to directly suspend or cancel accounts.
9.6 If any third party makes any claim or request due to the content you provide, publish or transmit through this service, your connection with this service, your violation of this usage agreement, or your infringement of others' rights, including but not limited to reasonable attorneys' fees, court costs, you agree to compensate Hibay and its subsidiaries, affiliates, executives, agents, co-branders, or other partners and employees and keep them harmless and bear all legal responsibilities arising therefrom.
9.7 You agree not to copy, reproduce, sell, resell, or use for any other commercial purposes any part of this Service or use or access to this Service.
10.1 The intellectual property of the content provided by Hibay in this service (including but not limited to web pages, interface design, layout frames, text, audio, video, images or other materials etc.) belongs to Hibay or relevant rights owners. Unless otherwise agreed, the copyright, patent right and other intellectual property rights of the software and systems relied upon by Hibay to provide this service belong to Hibay. Hibay and other Hibay logos, product and service names, are trademarks of Hibay. Without the prior written consent of Hibay, you may not remove, hide or change Hibay's copyright statement, trademark or other rights statement, nor display, use or process Hibay's trademarks in any way, or indicate that you have the right to display, use or process Hibay's trademarks.
10.2 You understand and agree that this service and the relevant software used by this service contain proprietary and confidential information protected by relevant intellectual property and other laws. You also understand and agree that the content contained in sponsored advertisements or information presented to you by this service or advertisers is also protected by copyright, trademark, patent or other exclusive legal rights. Without explicit authorization from Hibay or advertisers, you may not modify, rent, lend, sell, distribute any part or whole of this service or software, or create derivative works based on them, or use modified software etc. Hibay only grants you a personal, non-transferable and non-exclusive right to use its software on a single computer, but you must not (and may not allow any third party to) copy, modify, adapt, translate, create derivative works, reverse engineer, disassemble, propagate or discover the original code in any other way, or sell, transfer, sublicense, provide software warranty, or transfer any rights of the software in any other way. You agree to use this service through the interface provided by Hibay, not through any other means.
10.3 If you violate the World Copyright Convention, Singapore Copyright Bill, Trademark Law, Patent Law, Competition Law and other laws and regulations related to intellectual property or this agreement, you should bear the damage caused to others (including Hibay) and take corresponding legal responsibilities.
11.1 Hibay respects the lawful interests of others (including intellectual property rights, reputation rights, business reputation rights, etc.), and calls on you to respect the lawful interests of others.
11.2 If you violate prohibitive provisions of laws and regulations and infringe on the legal rights of others or the public interest, Hibay will delete specific content or terminate your use of the account according to national laws and regulations, or under appropriate circumstances, according to this agreement or its related rules.
11.3 If you infringe on someone else's intellectual property, Hibay will delete specific content or terminate your use of the account according to national laws and regulations, or under appropriate circumstances, according to its service agreement or its related normative rules. If you believe that your copyrighted work has been infringed or your intellectual property has been violated, you should contact Hibay in a timely manner and provide detailed evidence.
12.1 You understand the borderless nature of the international internet and agree to comply with all local laws and regulations about online behavior and content. You particularly agree to comply with all applicable laws and regulations relating to the transmission of information from Singapore and the country or region where you are located.
13.1 If you are a minor user, please read this user agreement carefully accompanied by your legal guardian. You and your legal guardian should bear the responsibility according to the law and the rules of this agreement.
14.1 Due to the content you provide, post or transmit through this service, your connection with this service, your violation of this User Agreement, or your infringement of any rights of others, which result in or lead to any third party claims or demands, including reasonable attorney's fees, you agree to indemnify Hibay and its subsidiaries, affiliates, senior executives, agents, brand co-owners or other partners and employees, keep them free from damage, and assume all legal responsibilities arising therefrom.
15.1 You explicitly understand and agree that Hibay bears no responsibility for any direct, indirect, incidental, special, consequential or punitive damages for any losses, including but not limited to profits, reputation, application, data loss or other intangible losses due to the following reasons:
1) The use or inability to use this service; 2) Costs associated with replacing any goods, data, information, services, messages received, or transactions concluded from or through this service; 3) Unauthorized access or alteration of your transmissions or data; 4) Any statements or actions made by any third party within this service; 5) Any other matters related to this service, except as expressly stipulated in this User Agreement; 6) If a third party posts or delivers fraudulent information in any way, or induces users to suffer economic losses, Hibay bears no responsibility.
Hibay and other Hibay registered trademarks, logos, and product and service names, are trademarks of Hibay Company (hereinafter referred to as "Hibay Marks"), protected by Singapore Copyright, Industrial Design, Patent, Trademark laws, international conventions and intellectual property and proprietary rights laws. Without prior written consent of Hibay, you agree not to display, use or otherwise deal with Hibay Marks in any way, or indicate that you have the right to display, use or otherwise handle Hibay Marks.
